1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Ieup, Inc. ("Ieup," "we," "us," or "our") governing your access to and use of the Ieup application and related services (collectively, the "Service").

By creating an account, downloading our app, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old (or the minimum age required by law in your country) to use Ieup.
If you are between 13 and 18, you represent that your parent or legal guardian has reviewed and consented to these Terms.
You must not be prohibited from using the Service under applicable law.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

You may not create an account on behalf of another person without their explicit consent, impersonate any person or entity, or use a username that is misleading or violates another person's rights.

4. The Service

Ieup provides a social platform including:

Direct messaging – one-on-one private conversations.
Group chats – conversations among multiple participants.
Watch Together – synchronized viewing of videos and live streams with other users.
Live streaming – broadcasting video content to your audience in real time.
Profiles and social discovery – finding and connecting with other users.

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

5. User Content

You retain ownership of content you create and share on Ieup ("User Content"). By posting User Content, you grant Ieup a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, adapt, distribute, and display that content solely to operate and improve the Service.

You represent and warrant that:

You own or have the necessary rights to your User Content.
Your User Content does not infringe any third-party intellectual property, privacy, or other rights.
Your User Content complies with these Terms and all applicable laws.

We do not claim ownership of your content; this license ends when you delete your content or account, except where your content has been shared with others who have not deleted it.

6. Prohibited Conduct

You agree not to:

Post, transmit, or share content that is unlawful, hateful, harassing, threatening, defamatory, pornographic, or exploitative of minors.
Impersonate any person, organization, or Ieup.
Spam, phish, or send unsolicited bulk messages.
Share or stream copyrighted content without authorization.
Interfere with or disrupt the Service, servers, or networks connected to the Service.
Attempt to gain unauthorized access to other accounts or systems.
Use automated scripts, bots, or scrapers without our written permission.
Engage in any conduct that violates the rights of others or applicable law.

Violation of these rules may result in immediate suspension or permanent termination of your account.

7. Watch Together & Live Streams

When using Watch Together or Live Streaming features:

You must have the rights to any content you stream or share.
You must not stream content that violates platform rules, third-party intellectual property, or applicable law.
We may terminate a live stream or Watch Together session that violates these Terms without prior notice.
You acknowledge that participants in a session may record or capture the session; you are responsible for informing other participants of any recording.

8. Intellectual Property

All rights, title, and interest in the Service (excluding User Content) — including software, design, trademarks, and logos — are owned by Ieup or its licensors. These Terms do not grant you any right to use our trademarks or branding without our prior written consent.

If you believe content on the Service infringes your copyright, please contact us at [email protected] with a description of the claimed infringement. We will respond in accordance with the Digital Millennium Copyright Act (DMCA) and equivalent laws.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Third-Party Services

The Service may contain links to or integrations with third-party services. We are not responsible for the content or practices of those services. Your use of third-party services is at your own risk and subject to their own terms and privacy policies.

11. Disclaimers

      THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
    

12. Limitation of Liability

      TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IEUP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA OR GOODWILL, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE MONTHS PRECEDING THE CLAIM.
    

13. Indemnification

You agree to defend, indemnify, and hold harmless Ieup and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; or (c) your violation of these Terms or applicable law.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, the provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and dispute resolution) will continue to apply.

15. Governing Law & Disputes

These Terms are governed by the laws of Spain and, where applicable, the European Union, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall first be attempted to be resolved informally by contacting us at [email protected].

If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts of Bilbao, Spain. EU consumers retain the right to bring claims before the courts of their country of residence and may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via in-app notification or email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
